摘要

集团公司管理的核心体现为对子公司的控制和集团内各公司间的协同。控制主要表现为纵向的权力配置，为了实现战略一致性；协同则主要表现为横向的一致行动，目的是产生互补效应和协同效应。对集团公司控制和协同的内涵、功能、实现方式及两者的关系进行探索，发现控制才能协同，协同需要控制。在实践中通过控制点和协同点的选择运用，实现集团公司权变控制和协同运作。

Abstract

The core of management in a group company is its control of subsidiaries and the cooperation between subsidiaries. The control shows up in the longitudinal power disposition in order to realize strategic alignment; the cooperation shows up in the transverse concerted action in order to realize complementary effect and synergistic effect. This paper aims to discover the connotation of control and cooperation

the way to realize them and the relationship between them in a group company. The control assures the realization of cooperation and cooperation needs control. In practice

to select the right control point and cooperation point can realize the control of contingency and cooperative operation in a group company.
